Welcome to Girikon AI! These Terms of Service ("Terms") govern your use of Girikon AI's services, including our website, applications, and any related services (collectively referred to as the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

• Individual use — if you are using the Service as an individual, these Terms form a binding agreement between you and Girikon AI.
• Organisational use — if you are using the Service on behalf of an organisation, you are agreeing to these Terms on behalf of that organisation. You represent and warrant that you have the authority to bind the organisation to these Terms.
• Minimum age — by accepting these Terms you confirm you are at least 18 years of age or have the legal capacity to enter into contracts in your jurisdiction.

Girikon AI reserves the right to update, modify, or replace these Terms at any time. When we make material changes, we will provide notice by one or more of the following methods:

• Updating the "Last Updated" date at the top of this page.
• Sending an email notification to registered account holders.
• Displaying a prominent notice on the Service or within your account dashboard.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.

To access certain features of the Service, you may be required to create a user account. By creating an account, you agree to the following:

• Accurate information — you will provide true, current, and complete information during registration and keep it up to date.
• Account security — you are responsible for maintaining the confidentiality of your account credentials, including your password. You must not share your credentials with any third party.
• Unauthorised access — you agree to notify Girikon AI immediately at sales@girikon.ai of any unauthorised use of your account or any other breach of security.
• Account responsibility — you are responsible for all activity that occurs under your account, whether or not authorised by you.
• One account per user — unless otherwise agreed in writing, each individual may hold only one active personal account.

Girikon AI reserves the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent.

You agree to use the Service in compliance with all applicable laws and regulations. The following activities are strictly prohibited:

• Illegal use — using the Service for any purpose that violates local, state, national, or international law or regulation.
• Harassment or harm — using the Service to harass, abuse, threaten, or harm any individual or group.
• Unauthorised access — attempting to gain unauthorised access to any part of the Service, other accounts, or connected systems.
• Data scraping — scraping, crawling, or extracting data from the Service without prior written consent from Girikon AI.
• Reverse engineering — decompiling, disassembling, or reverse engineering any part of the Service.
• Spam or unsolicited messaging — using the Service's communication tools (SMS, WhatsApp, calling) to send unsolicited bulk messages in violation of applicable anti-spam laws.
• Misrepresentation — impersonating another person, entity, or Girikon AI employee.

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

If there is any conflict between these Terms and the Privacy Policy with respect to data handling, the Privacy Policy shall take precedence for matters related to personal data processing.

All content and materials available on the Service, including but not limited to text, graphics, logos, images, software, AI models, and source code, are the property of Girikon AI or its licensors and are protected by applicable intellectual property laws.

• Ownership — Girikon AI retains all right, title, and interest in and to the Service and its underlying technology.
• Licence grant — subject to these Terms, Girikon AI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes.
• Restrictions — you may not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Service without prior written consent from Girikon AI.
• User content — any content you submit through the Service remains your property. By submitting content, you grant Girikon AI a limited licence to use that content solely to provide the Service to you.
• Trademarks — "Girikon AI," "GirikUnified," "GirikVOICE," "GirikCTI," "GirikSMS," and related logos are trademarks of Girikon AI Inc. You may not use them without prior written permission.

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to:

• Implied warranties — warranties of merchantability, fitness for a particular purpose, and non-infringement are expressly disclaimed.
• Availability — Girikon AI does not warrant that the Service will be uninterrupted, timely, secure, or error-free at all times.
• Accuracy — Girikon AI does not warrant that any results obtained from use of the Service will be accurate, reliable, or meet your requirements.
• Third-party integrations — Girikon AI makes no warranties regarding third-party platforms including Salesforce, Google Workspace, Microsoft 365, TATA Communications, Meta WhatsApp, or any other integrated service.

To the fullest extent permitted by applicable law, Girikon AI and its officers, directors, employees, agents, licensors, and suppliers shall not be liable for:

• Indirect damages — any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• Loss of profits or revenue — any loss of profits or revenues, whether incurred directly or indirectly.
• Loss of data — any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Service.
• Third-party actions — any damages resulting from the acts or omissions of third-party service providers, including Salesforce, Google, Microsoft, Meta, or TATA Communications.
• Unauthorised access — any damages arising from unauthorised access to or alteration of your transmissions or data.

In no event shall Girikon AI's aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the total fees paid by you to Girikon AI in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).
